These Terms and Conditions ("Terms") govern use of GoTopSun.com, social-media and website lead forms, solar discovery and concierge services, project coordination, promotions, and related communications provided by Top Sun Solar Experts LLC (collectively, the "Services"). By using the Services or submitting a request, you agree to these Terms and our Privacy Policy.

Eligibility and Property Authority

You must be at least 18 years old. If you request services concerning a property, utility account, business, or other person, you represent that you are the owner or have authority to request the service and provide the related information. We may request verification before accessing utility information or coordinating a project.

Role of Top Sun

Top Sun provides solar education, needs assessment, sales and concierge support, proposal comparison, and project-origination or fulfillment coordination. Website content, calls, consultations, and preliminary proposals are informational and do not themselves create a construction, installation, financing, lease, power-purchase, warranty, or utility agreement. A binding project commitment exists only in the separate written agreement signed by the parties identified in that agreement.

Depending on the project, installation, engineering, financing, equipment, monitoring, roof work, service, or warranties may be provided by independent third parties. Their licenses, contracts, privacy practices, underwriting, work, and warranties are their responsibility. Top Sun’s responsibility is limited to the role expressly stated in its signed agreement with you.

Energy Data and ACE Reports

You authorize Top Sun to receive and use utility bills, interval data, solar-production information, property information, proposals, agreements, and expected load changes you provide for your requested consultation or project. Top Sun may coordinate with Free Up Solar LLC doing business as MyEnergyFax.com to obtain an independent ACE Report or related data service. Free Up Solar LLC and Top Sun are separate legal entities with separate contracts, accounts, and responsibilities. Top Sun does not control or receive favorable ACE Report findings.

Proposals Estimates and No Guaranteed Outcome

Proposals, renderings, production estimates, savings estimates, battery-dispatch illustrations, utility-bill forecasts, incentives, tax-credit information, timelines, and equipment availability are estimates based on stated assumptions. Actual results vary with energy use, weather, shading, site conditions, utility tariffs, export values, equipment, outages, financing, permitting, interconnection, and legal changes. Top Sun does not guarantee utility savings, tax benefits, lender approval, incentive availability, project completion dates, equipment availability, property value, or uninterrupted power unless a signed agreement expressly provides a specific guarantee.

You should consult your tax adviser regarding credits or deductions, your financial adviser regarding financing, and the licensed contractor or engineer regarding final design and construction. Do not rely on website content as a substitute for professional advice or the final contract documents.

Third Party Installers Lenders and Providers

At your request, Top Sun may introduce you to or share project information with installers, contractors, lenders, finance providers, equipment manufacturers, monitoring providers, utilities, or other service providers. An introduction is not an endorsement of every term or a guarantee of performance. Review each provider’s contract, fees, payment schedule, cancellation rights, warranties, licensing, and privacy policy before signing.

Top Sun may receive commissions, dealer compensation, referral fees, administrative fees, or other compensation connected with a completed project. Any material compensation or relationship will be disclosed where required. You remain free to decline an introduction or select another provider, subject to any agreement you have already signed.

Appointments Communications and Lead Forms

When you submit a website or social-media lead form, you authorize Top Sun to respond about the request using the telephone number or email address provided. Marketing calls or texts, including those using automated technology, require the consent presented at collection and are not a condition of purchase. Message frequency varies; message and data rates may apply. Reply STOP to end texts and HELP for help. Use the unsubscribe link to stop marketing email. Appointment, project, safety, and transaction messages may continue as needed.

Promotions Incentives and Referral Programs

Bonuses, discounts, gift cards, referral rewards, matched-support offers, and other promotions are subject to the eligibility, completion, timing, tax, and verification terms presented with the specific offer. Unless the offer says otherwise, an incentive is not earned until the qualifying installation is complete, any cancellation period has expired, required documentation has been received, and Top Sun has been paid for the transaction. We may withhold or reverse a reward obtained through fraud, duplicate submissions, self-referral, ineligible activity, or a canceled transaction.

Sunshine Helps is a program and DBA of Jetspeed Holdings LLC, not a separate nonprofit or tax-exempt charity. A Sunshine Helps promotion is also subject to the Sunshine Helps Terms. No tax deduction is promised unless a qualified recipient independently provides an appropriate receipt.

Customer Responsibilities

Provide accurate and complete property, usage, ownership, roof, project, and contact information.

Review all proposals and contracts, ask questions, and keep copies before signing.

Provide lawful site access and disclose known conditions that may affect design or installation.

Make payments required by the applicable signed agreement and cooperate with permitting, utility, financing, and inspection requirements.

Do not misrepresent your identity, property authority, credit application, usage information, referral eligibility, or incentive status.

Website Content and Intellectual Property

GoTopSun.com and its text, graphics, videos, tools, marks, and other content are owned by or licensed to Top Sun. We grant you a limited, revocable, nonexclusive right to use the site for lawful personal or internal business purposes. You may not scrape, copy, republish, reverse engineer, sell, or create competing materials from the site without written permission. Third-party names and marks belong to their owners and do not imply sponsorship unless expressly stated.

Separate Project Agreements

A signed dealer, installer, finance, lease, power-purchase, purchase, warranty, or service agreement may contain additional or different terms, including cancellation rights required by law. Those service-specific terms control the subject of that agreement. Nothing in these website Terms reduces a statutory cancellation right or consumer protection that cannot lawfully be waived.

Website Availability and Changes

We may modify, suspend, or discontinue any website feature or online content. We do not promise that a website will always be available, error-free, secure, or compatible with every device. We may update these Terms by posting a revised version. The revised Terms apply prospectively from the stated effective date.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, CONTENT, AND ANY FREE INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOP SUN SOLAR EXPERTS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM THE WEBSITE OR SERVICES. EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW OR A DIFFERENT LIMIT EXPRESSLY STATED IN A SIGNED AGREEMENT, OUR AGGREGATE LIABILITY ARISING FROM THE WEBSITE OR THE PARTICULAR ONLINE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THAT SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Top Sun Solar Experts LLC and its owners, officers, employees, and agents from third-party claims, losses, and reasonable costs arising from your unlawful misuse of the website, your infringement of another person’s rights, or information or authorization you knowingly provide without authority. This section does not require a consumer to indemnify us for our own negligence or unlawful conduct.

Governing Law and Disputes

California law governs these Terms, without regard to conflict-of-law rules. Before filing a lawsuit, the parties will make a reasonable good-faith effort to resolve the dispute informally. Unless applicable consumer law permits another venue, court proceedings must be brought in a state or federal court with jurisdiction in San Bernardino County, California. These Terms do not contain a mandatory arbitration clause or class-action waiver; any such provision must appear in a separate agreement knowingly accepted by the affected parties.

Miscellaneous

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our written consent. We may transfer these Terms in connection with a lawful business transaction. Headings are for convenience only. These Terms and any service-specific written agreement form the entire agreement concerning the subject they address; a signed service-specific agreement controls if it expressly conflicts with these Terms.
